Terms of Service

These terms are an agreement between you and Braintech LLC dba SniperMate.com ("SniperMate", "we") for use of the auction sniping service at snipermate.com. By creating an account or using the service, you agree to them.

1. Who can use SniperMate

You must be at least 18 years old and live in the United States. You are responsible for keeping your account details accurate and your password secure, and for everything that happens under your account.

2. What SniperMate does

SniperMate places bids on ShopGoodwill.com auctions on your behalf. You choose an auction and the most you are willing to pay, and SniperMate submits that bid shortly before the auction ends.

SniperMate is an independent service. It is not affiliated with, endorsed by or sponsored by Goodwill Industries or ShopGoodwill.com.

3. Your ShopGoodwill account

  • By connecting your ShopGoodwill account, you authorize SniperMate to sign in to it and place the bids you schedule.
  • You are responsible for maintaining a valid and usable ShopGoodwill account, maintaining accurate credentials and account information, satisfying any verification requirements imposed by ShopGoodwill, and ensuring that your account is eligible to bid.
  • SniperMate is not responsible for a failed bid resulting from an expired session, incorrect credentials, account suspension or restriction, verification requirement, CAPTCHA, security challenge, or other action taken by ShopGoodwill.
  • You are responsible for following ShopGoodwill's own terms and rules.
  • You can disconnect your ShopGoodwill account at any time. Snipes scheduled after that cannot be placed.

4. Your bids

You are solely responsible for reviewing and confirming all auction information, bid amounts, maximum bids and other instructions before scheduling a snipe. SniperMate will rely on the instructions submitted through your account. Once a bid has been transmitted to ShopGoodwill, it may not be possible to modify, cancel or withdraw it.

Every bid SniperMate places for you is your bid. You are responsible for bids placed in accordance with the instructions submitted through your account, including any bid amount entered incorrectly by you. If a bid wins, you are bound to complete the purchase with ShopGoodwill, including any shipping, handling and taxes. SniperMate is not a party to any sale between you and ShopGoodwill.

5. Snipe Wins

  • Snipe Wins are credits used to pay for successful snipes. New accounts may receive some free Snipe Wins; more can be bought in packs.
  • One Snipe Win is used only when a snipe wins its auction. A snipe that loses, is outbid, or cannot be placed does not use a Snipe Win.
  • Snipe Wins do not expire, have no cash value, and cannot be transferred.
  • Purchases are final. Snipe Wins are not refundable, except where the law requires otherwise.
  • Deleting your account permanently removes any remaining Snipe Wins.

6. Auction information

Auction titles, descriptions, photographs, bid amounts, end times, shipping information, item condition, seller information and other auction data originate from ShopGoodwill or its participating sellers. SniperMate does not control and does not warrant the accuracy, completeness, availability or timeliness of that information. You are responsible for reviewing the auction directly on ShopGoodwill before scheduling or changing a bid.

7. Items you buy

SniperMate does not sell, possess, inspect, authenticate, ship, insure or take ownership of items listed on ShopGoodwill. SniperMate is not responsible for an item's authenticity, legality, condition, quality, description, value, shipping cost, delivery, loss, damage, return eligibility or seller performance.

8. No guarantee of results

SniperMate does not guarantee execution of any scheduled bid. A bid may fail, be delayed, rejected or submitted differently than expected because of circumstances including network latency, Internet outages, server failures, maintenance, software errors, third-party outages, authentication failures, expired sessions, CAPTCHA or other security challenges, account restrictions, changes to ShopGoodwill's website or systems, inaccurate auction information, changes in auction closing times, or other circumstances beyond SniperMate's reasonable control.

SniperMate does not guarantee that a bid will win, or that using the service will result in a lower purchase price, a greater likelihood of winning, or any particular financial outcome. Outcomes depend on other bidders, your maximum bid, and on ShopGoodwill, which we do not control.

9. Third-party platform

SniperMate depends on and interacts with ShopGoodwill, an independent third-party service that SniperMate does not control. ShopGoodwill may modify its website, bidding process, authentication requirements, policies, technical systems, availability or access methods at any time. Such changes may temporarily or permanently impair some or all SniperMate functionality. SniperMate does not guarantee continued compatibility with, or availability of, any third-party platform.

10. Acceptable use

You agree not to misuse the service, including by:

  • using it for any unlawful purpose or in breach of ShopGoodwill's terms;
  • interfering with, overloading or trying to break into the service or other accounts, or bypassing its security or access restrictions;
  • copying, reverse engineering or attempting to extract the source code of the service, except where the law expressly allows it;
  • scraping or extracting data from the service, or accessing it by automated means without our written permission;
  • reproducing the service or using it to build a competing product;
  • sharing your account, or reselling access to the service without our written permission.

11. Intellectual property

SniperMate, its software, source code, interface, designs, graphics, branding, trademarks, databases and other materials belong to SniperMate or its licensors. Subject to these terms, we give you a limited, revocable, non-exclusive, non-transferable right to use the service for your own personal use. No other rights are granted.

12. Suspension and termination

We may suspend, restrict or terminate access when reasonably necessary to protect the service, other users, third parties or SniperMate; to investigate suspected fraud, abuse, unauthorized access or security incidents; to comply with law; to address a breach of these terms; or to address conduct that creates risk or potential liability. Any remaining Snipe Wins are handled as applicable law requires.

You can stop using SniperMate and delete your account at any time.

13. Disclaimer

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by applicable law.

14. Limitation of liability

To the maximum extent permitted by applicable law, SniperMate is not liable for any indirect, incidental, special or consequential damages, or for lost auctions, lost profits, lost data, loss of opportunity, loss of anticipated savings, loss in value, replacement cost, cover purchases, business interruption, loss of goodwill, or claims arising from the purchase or non-purchase of an auction item. This includes bids that are missed, late, rejected or outbid, service outages, and changes made by ShopGoodwill.

Our total liability for any claim is limited to the amount you paid SniperMate in the 12 months before the claim arose. Some states do not allow certain limitations, so some of them may not apply to you.

15. Indemnity

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless SniperMate from claims, liabilities, damages, judgments, settlements, losses and costs, including reasonable attorneys' fees, arising out of your use of the service, your auction activity, your account activity, your violation of ShopGoodwill's rules or of any law, your infringement of another person's rights, or your breach of these terms.

16. Events beyond our control

SniperMate is not responsible for delay or failure caused by events beyond its reasonable control, including Internet or telecommunications failures, hosting or cloud-service failures, cyberattacks, power outages, governmental actions, natural disasters, labor disruptions, or failures or changes of third-party services.

17. Governing law

These terms are governed by the laws of the State of New Jersey and applicable United States law. Any dispute will be heard in the state or federal courts located in New Jersey, and you and SniperMate agree to their jurisdiction.

18. General

  • Entire agreement: these terms, together with our Privacy Policy, are the whole agreement between you and SniperMate about the service.
  • Severability: if any provision is found unenforceable, the rest remain in effect.
  • No waiver: not enforcing a provision once does not waive our right to enforce it later.
  • Assignment: you may not transfer your account or these terms without our written permission. SniperMate may transfer them as part of a merger, acquisition, sale or reorganization, subject to applicable law.

19. Changes to these terms

We may update these terms. We will change the date at the top, and email account holders about significant changes. Continuing to use SniperMate after a change means you accept the updated terms.
